ENGAGEMENT TERMS · VERSION 1.0

Financial Planning Engagement Terms

Version 1.0 · Effective September 18, 2026

These are the terms of the Financial Planning Engagement Agreement between Nofal Financial Group LLC, a Tennessee limited liability company doing business as Nofal Insurance and Wealth ("NIW," the "Adviser," "we," or "us"), an investment adviser registered with the Tennessee Department of Commerce and Insurance, Securities Division, and each planning client ("Client," "you"). These Terms are the operative agreement — not a summary of one. Our Form ADV Part 2A and 2B, Privacy Notice, and, for the tiers in which recommendations are made, the Risk Evaluation Worksheet are provided alongside them.

How this agreement is entered into

These Terms are the Financial Planning Engagement Agreement (the "Agreement") between you and the Adviser. They become binding on you in one of two ways, depending on the service tier you select.

Life Foundations Plan — online acceptance. You enter into the Agreement by checking the acceptance box on the Adviser's secure checkout page and completing payment of the planning fee. No separate signature is required, and checking that box and completing payment has the same legal effect as a handwritten signature. The Effective Date is the date your payment is completed, and the version of these Terms published on this page at that moment is the version that governs your engagement. The Adviser retains a record of your acceptance — including the date and time, the email address you provided, and the version of these Terms then in effect — and will give you a dated copy of that version on request, at no charge.

Financial Plan, All-Inclusive Plan, and All-Inclusive + Asset Management — signature. You enter into the Agreement by signing the Financial Planning Engagement Agreement, which incorporates these Terms in full. The Effective Date is the date of the last signature.

Please read these Terms before you accept them. If there is anything you would like explained or changed, call us at 629.333.2233 before accepting, rather than accepting and raising it afterward.

1. Engagement selected and fees

Client engages the Adviser to provide the financial planning services of the selected service tier. Fees are fixed (flat) fees, agreed before any planning work begins. The Adviser does not charge performance-based fees, and no fee under the Agreement is based on a share of capital gains or capital appreciation of Client assets.

Tier
Life Foundations Plan (education + estate documents)
Fee

$1,000 flat fee, due in full before services are delivered.

Scope

Two 30-minute financial education sessions — led by the Adviser or driven by your questions; a full estate plan (revocable family trust, pour-over will, and durable powers of attorney) through the platforms in Section 8; and a one-hour session to review and advise on your estate plan. No asset minimum. This is an educational and estate-document engagement: it does not include the data gathering, analysis, or written planning packet of the tiers below, and no specific investment, insurance, or tax recommendations are made. You may upgrade to another tier at any time.

Tier
Financial Plan (advice-only)
Fee

$2,000 flat fee.

Scope

Comprehensive data gathering and analysis; tax evaluation and planning considerations; retirement, insurance, and investment review; written planning packet with a one-page summary of actionable recommendations. Implementation is entirely Client's choice and is not included.

Tier
All-Inclusive Plan
Fee

$3,000 flat fee.

Scope

Everything in the Financial Plan, plus facilitation and execution of plan recommendations within the Adviser's authority (through the Adviser or third parties, at Client's choice), a 30-day implementation check-in, and a full estate plan (revocable family trust, pour-over will, and durable powers of attorney) through Trust & Will (or, for Islamic estate plans, Shariawiz). Placement of recommended products may be through the Adviser's affiliated agency or a third party of your choosing.

Tier
All-Inclusive + Asset Management
Fee

$3,000 flat fee, less applicable discount; advisory fee per Section 7.

Scope

Everything in the All-Inclusive Plan, plus ongoing discretionary asset management under a separate Investment Advisory Agreement. Plan-fee discount based on assets transferred to the Adviser's management: $1,000 off at $100,000–$199,999; $2,000 off at $200,000–$499,999; plan fee waived at $500,000 or more.

Complexity surcharge. Where the engagement involves elevated complexity (for example, multiple real estate holdings, business interests, or advanced retirement or estate structures), a surcharge of $300–$500 applies. Any surcharge is quoted, agreed, and documented in writing before the Agreement is signed — there are no surprise fees.

Discount recapture (Asset Management tier only). Any plan-fee discount or waiver is contingent on the assets actually transferred to the Adviser's management. If Client withdraws managed assets within twelve (12) months of the engagement such that the applicable discount tier is no longer met, the discount applied to the plan fee may be recaptured on a prorated basis, as set out in full in the Investment Advisory Agreement.

2. Scope of services

The Adviser will provide financial planning services following the seven-step financial planning process of the CFP Board's Practice Standards: understanding your personal and financial circumstances; identifying and selecting goals; analyzing your current course of action and potential alternatives; developing recommendations; presenting recommendations; assisting with implementation (per the selected tier); and monitoring and updating (per the selected tier). Services are delivered through a structured meeting sequence beginning with a Discovery & Vision meeting and a Data & Goals Confirmation meeting, followed by a Plan Presentation meeting.

Risk evaluation. As part of every engagement in which recommendations are made (the Life Foundations Plan involves no specific recommendations, per Section 1), and before any investment recommendation is made, the Adviser will conduct a reasonable inquiry into your investment objectives, financial situation, and needs, and will complete a documented three-part risk evaluation assessing: (a) your risk tolerance (your psychological comfort with volatility and loss); (b) your risk capacity (what your balance sheet and time horizon can absorb); and (c) your risk need (the level of risk your goals actually require). These three measures are assessed separately, and any conflict among them is surfaced to you and reconciled explicitly in the plan rather than averaged. Recommendations are made only where the Adviser has reasonable grounds to believe they are suitable for you on the basis of the information you furnish.

The quality of the plan depends on the completeness of the information you provide. Where requested information is not provided, the Adviser will document the gap and any assumptions carried in its place, and the analysis will be limited accordingly.

3. Planning portal — RightCapital access

As part of the engagement, you will receive your own secure login to RightCapital, the Adviser's financial planning platform. Your portal provides access to your financial plan, linked account aggregation, goal tracking, and secure document sharing with the Adviser. Portal access is included for the duration of your engagement period described in Section 4 (and, for Asset Management clients, for the duration of the advisory relationship).

4. Term of engagement and ongoing access

Life Foundations clients. The engagement term runs from the Effective Date through completion of the education sessions, delivery of the estate plan documents, and the estate plan review session. The 12-month question access below applies to the comprehensive planning tiers; Life Foundations clients may upgrade to another tier at any time.

Financial Plan and All-Inclusive clients. The engagement term runs from the Effective Date through twelve (12) months following delivery of your written financial plan. During that 12-month period, you may contact the Adviser with financial questions — about your plan, its recommendations, or new financial decisions as they arise — at no additional charge. This access is included in your flat fee. A full plan update, or new analysis materially beyond the scope of the delivered plan, may be proposed as a new engagement with fees agreed in writing before any work begins.

All-Inclusive + Asset Management clients. For clients in the Asset Management tier, access for financial questions is available on an as-needed, ongoing basis for the duration of the advisory relationship, together with the recurring review calendar described in the Investment Advisory Agreement.

5. Fees, billing, and refunds

The planning fee for the selected tier (plus any documented complexity surcharge, less any documented discount) is the complete fee for the planning engagement. Payment terms depend on the tier selected:

  • Life Foundations Plan: the fee is due in full at the time you accept these Terms and complete payment, before services are delivered.
  • Financial Plan, All-Inclusive Plan, and All-Inclusive + Asset Management: fifty percent (50%) of the planning fee is due upon signing the Agreement, and the balance is due upon delivery of the written financial plan, unless a different schedule is documented in the Agreement.

Refund of prepaid fees. If the Agreement is terminated by either party before the services of the selected tier are completed, the Adviser will refund any prepaid fees in excess of fees earned for work actually performed to the date of termination, calculated based on the proportion of the engagement completed. This applies to every tier, including the prepaid Life Foundations Plan. If the Agreement is terminated within five (5) business days of signing or online acceptance under Section 6, all prepaid fees are refunded in full, without penalty.

Fees under the Agreement cover planning services only. Product costs (for example, insurance premiums or estate plan document fees) and the advisory fee for ongoing asset management (Section 7) are separate and disclosed separately.

6. Termination

Either party may terminate the Agreement at any time by written notice, without penalty, subject only to payment for services actually rendered through the date of termination as described in Section 5. In addition, if you did not receive the Adviser's Form ADV Part 2A brochure and Part 2B brochure supplement at least forty-eight (48) hours before you signed or accepted the Agreement, you have the right to terminate the Agreement without penalty within five (5) business days afterward, and all prepaid fees will be refunded in full. Where the Agreement is accepted online and the Adviser's record does not establish that Form ADV was delivered at least 48 hours in advance, the Adviser treats this five-business-day right as applying, and will not commission your estate plan documents from a third-party platform until that period has closed, unless you ask us in writing to begin sooner.

7. No discretionary authority under this Agreement

The Agreement does not grant the Adviser discretionary authority over any Client account or asset, and does not give the Adviser custody of Client funds or securities. Ongoing discretionary asset management for the Asset Management tier is provided only under a separate written Investment Advisory Agreement, executed at advisory onboarding, which sets out custody at the designated custodian, discretionary trading authority, billing mechanics, and the discount recapture provision referenced in Section 1. No broker commissions are charged on advisory trades.

Advisory fee and billing. The annual advisory fee is charged at the tiered rates of 1.00% on the first $1,000,000 of assets under management, 0.75% on the next $1,000,000, and 0.50% above $2,000,000. The fee is calculated and billed quarterly, in advance, at one-quarter (¼) of the applicable annual rate, on February 1, May 1, August 1, and November 1 of each year. The advisory fee applies only to managed investment accounts; cash accounts (such as cash management or high-yield cash accounts) are not billed. Each quarterly fee is based on the total market value of the billed investment accounts — including cash and cash equivalents held within them — as of the last business day of the month preceding the invoice date. For the initial billing period, the fee is calculated on the total market value of the billed investment accounts as of the date the Investment Advisory Agreement is executed, and is prorated for the period from that execution date through the next quarterly billing date, after which the regular quarterly billing cycle applies. Upon termination, any advisory fee paid in advance is refunded on a prorated basis for the unearned portion of the billing quarter.

8. Disclosures and conflicts of interest

The Adviser is committed to disclosing material conflicts plainly. You acknowledge the following disclosures:

  • Capacity and insurance commissions. "Nofal Insurance and Wealth" is the marketing name for Nofal Insurance Services LLC ("NIS"), a licensed insurance agency, and Nofal Financial Group LLC ("NFG"), the investment adviser entering into the Agreement. Advisory services are provided through NFG; insurance products are offered separately through NIS. If you move forward with any insurance products recommended in your plan and place them through NIS, NIS and its agents — including your advisor — earn insurance carrier commissions in addition to your planning fee. This compensation is a conflict of interest, because it creates an incentive to recommend insurance products. You are free to implement any recommendation through any provider of your choosing, at no penalty.
  • Estate planning platforms. Estate plan packages included in the Life Foundations and All-Inclusive tiers are prepared by independent third-party platforms: Trust & Will for conventional estate plans, and Shariawiz for Islamic (faith-based) estate plans. Purchased directly from these platforms, a comparable estate plan typically runs between $600 and $800, depending on specific estate planning needs. The Adviser pays for access to these platforms under special advisory arrangements at discounted rates below that direct-to-consumer pricing, and retains the difference between its discounted cost and the amount charged to you. This compensation is a conflict of interest, disclosed here in writing before engagement. You may instead purchase directly from either platform, or use any estate planning provider or attorney you choose, at no penalty. The Adviser is not a law firm and does not provide legal advice; estate documents are prepared and executed through the platform or attorney you select.
  • Asset-transfer discounts. The plan-fee discounts in the Asset Management tier are contingent on transferring assets to the Adviser's management, which creates an incentive for the Adviser to recommend such transfers. Any recommendation to transfer assets (including retirement account rollovers) will nonetheless be made only where it is in your best interest, with the basis documented.
  • Variable products. Variable annuities and variable universal life are securities products. The Adviser may advise on them in its capacity as an investment adviser, but placement is facilitated through an appropriately licensed and registered third party. Where a no-load contract is used, the Adviser receives no insurance commission; its compensation is the advisory fee charged on assets held within the contract.
  • Form ADV. The Adviser's Form ADV Part 2A and Part 2B contain important information about its services, fees, and conflicts. The Adviser will annually deliver, or offer in writing to deliver, its updated brochure without charge.

9. Client responsibilities

You agree to provide complete and accurate information reasonably requested for the engagement (including through the Adviser's secure data-gathering platform), to notify the Adviser promptly of material changes in your financial circumstances, goals, or risk profile during the engagement term, and to review the plan and communicate decisions on its recommendations. Decisions to accept, modify, or decline recommendations are always yours.

10. Confidentiality and privacy

The Adviser treats your nonpublic personal information as confidential and does not sell it. Information is shared only as needed to deliver the services (for example, with the planning platform, custodian, or providers you direct us to work with), as you authorize, or as required by law. The Adviser's privacy notice is provided with its Form ADV materials.

11. Assignment

No assignment (as that term is interpreted under applicable investment adviser law) of the Agreement shall be made by the Adviser without your consent.

12. Limitations; governing law

The Adviser does not provide legal advice or tax return preparation under the Agreement; estate documents are executed through the designated platforms or attorneys of your choice, and tax positions beyond planning-level strategy are referred to your tax professional. Projections and plan scenarios are estimates based on stated assumptions, not guarantees; past performance does not guarantee future results, and the Adviser cannot and does not guarantee the achievement of any goal or investment outcome. Nothing in the Agreement waives or limits any right or remedy you have under the Tennessee Securities Act, the Investment Advisers Act of 1940, or any other applicable securities law, and nothing herein constitutes a waiver of the Adviser's fiduciary obligations to you. The Agreement is governed by the laws of the State of Tennessee. If any provision is held invalid, the remainder continues in effect. The Agreement, together with any written surcharge or discount documentation under Section 1 (and, if applicable, the Investment Advisory Agreement), is the entire agreement between the parties regarding the planning engagement, and may be amended only in a writing signed by both parties or, where the engagement was entered into online, by an electronic record accepted by both parties in the same manner.

13. Acknowledgments

If you sign the Agreement. By signing, Client confirms receipt of the Adviser's Form ADV Part 2A and Part 2B either at least 48 hours before signing, or at the time of signing (in which case Client may terminate the Agreement without penalty within five (5) business days after signing).

If you accept the Agreement online. By checking the acceptance box and completing payment, Client confirms that Client has read and agrees to these Terms; has received the Adviser's Form ADV Part 2A and Part 2B and Privacy Notice; consents to electronic records, delivery and signatures under Section 14; understands that the Life Foundations Plan is an educational and estate-document engagement in which no specific investment, insurance, or tax recommendations are made; and understands the estate-provider and insurance-commission conflicts described in Section 8. Client is asked at checkout to state when Form ADV Part 2A and 2B were received, and the five-business-day termination right in Section 6 applies as described there.

14. Electronic records, delivery, and signatures

This section is the Adviser's disclosure and your consent under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Tennessee Uniform Electronic Transactions Act (UETA). If you accept these Terms online, you consent to it as part of that acceptance. If you sign on paper, a standalone consent form is provided to you instead.

What your consent covers. We may deliver to you electronically, and you may accept or sign electronically, the records relating to your engagement: this Agreement; the Investment Advisory Agreement and its exhibits; the Risk Evaluation Worksheet; the Investment Policy Statement; the Rollover & Transfer Best-Interest Analysis; the Trusted Contact Person Designation; our Form ADV Part 2A and Part 2B, Form CRS (if applicable), and Privacy Notice; annual review and suitability update documents; fee invoices and billing notices; and amendments, renewals, and other notices relating to your engagement. Electronic delivery is made to the email address you provide, either directly or by a link to a secure document portal. An electronic record is considered delivered when sent, provided we do not receive an indication that delivery failed.

Your acceptance, and your access to the full document. Every document is presented to you in full before you accept or sign it — you can view, scroll through, download, and print it, and no terms are incorporated that are not accessible to you at that moment. Acceptance requires a deliberate, affirmative act by you. We do not use pre-checked boxes for any consent.

Hardware and software you will need. A device with internet access; a current version of a common web browser (Chrome, Safari, Edge, or Firefox); a valid email address you check regularly, able to receive email with links or attachments; software that can display PDF files; and the ability to download or print records you wish to keep. If these requirements change in a way that creates a material risk you will not be able to access your records, we will notify you and give you the opportunity to withdraw your consent without charge.

Paper copies. You may request a paper copy of any record we deliver electronically, at no charge, at any time — by phone at 629.333.2233, by mail at the address below, or by email. Requesting a paper copy does not by itself withdraw your consent.

Withdrawing your consent. You may withdraw this consent at any time, at no charge, by notifying us by phone, mail, or email. Withdrawal takes effect within a reasonable time after we receive it; records delivered or accepted before withdrawal remain valid. After withdrawal we will deliver records to you on paper, which may modestly slow document turnaround but will not affect the services you receive or their cost.

Consenting is not a condition of service. You may engage the Adviser and receive every service on paper instead, at no additional cost. If you would prefer to proceed on paper, call 629.333.2233 and we will send you the Agreement for signature by hand.

Keeping your email address current. You agree to keep a valid email address on file with us and to tell us promptly if it changes. If electronic delivery to the address on file fails, we may deliver the record on paper to your mailing address.

Demonstrating access. Because these Terms are themselves displayed and accepted electronically in the same manner your future records will be delivered, your electronic acceptance reasonably demonstrates that you can access records in the electronic form we will use. If you cannot open, read, or accept this page electronically, do not accept it — contact us and we will proceed on paper.

15. Joint clients

Where planning services are provided to a married couple or to two individuals as one household, both are Clients under this Agreement.

If you accept these Terms online, you represent that you are authorized to accept them on behalf of both Clients, and you agree to give the other Client a copy of these Terms, our Form ADV Part 2A and 2B, and our Privacy Notice. You are asked at checkout for the other Client's name and email address, and the Adviser will separately deliver those documents to them and retain a record of that delivery. Either Client may terminate the Agreement under Section 6. Either Client may give the Adviser instructions and receive information about the engagement, unless you both tell us in writing to do otherwise.
